Terms of Service
These Terms of Service ("Terms") are a legally binding agreement between you and Deku Studios LLC, a New York limited liability company ("Deku Studios," "we," "us," or "our"). They govern your use of Throneguild, including its mobile and web applications, the throneguild.com website, and related services (together, the "Game").
Section 15 contains a binding arbitration agreement and a class-action waiver. Unless you opt out as described in Section 15.6, you and Deku Studios agree to resolve disputes through individual arbitration instead of in court, and you waive the right to a jury trial and to take part in a class action.
By creating an account, making a purchase, or otherwise using the Game, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not use the Game.
Throneguild is separate from Deku Studios' real-money skill games. The Deku Studios Terms of Service at docs.deku.net govern those games, not Throneguild.
1. Eligibility
1.1 Age
You must be at least thirteen (13) years old to use the Game, or older if a higher minimum age applies where you live. If you are under eighteen (18), or under the age of majority where you live, you may use the Game only with the permission of a parent or guardian, who agrees to these Terms on your behalf and is responsible for your use of the Game, including any purchases.
1.2 Where the Game Is Offered
The Game may not be available in every country. You may not use the Game if you are barred from doing so by law, or if you are located in, or ordinarily resident in, a country subject to comprehensive U.S. sanctions, or are on a U.S. government list of prohibited or restricted parties.
2. Your Account
2.1 Creating an Account
You need an account to play. You agree to give accurate information and keep it current. You may sign in with an email address or a supported provider such as Apple or Google.
2.2 One Player, One House
Your account and House are personal to you. You may not sell, rent, share, or transfer your account, House, or holdings, or let anyone else play on your account. You may not create or use multiple accounts to gain an advantage, such as to buy out, contest, or funnel Gold to your own House.
2.3 Security
You are responsible for keeping your sign-in credentials secure and for activity on your account. Tell us right away at support@deku.net if you suspect unauthorized use.
3. How the Game Works
3.1 A Shared, Competitive World
Throneguild is an online multiplayer game set in a shared world divided into realms and settlements. Other players can affect your House. Depending on the Game's current rules, they may buy out your plots, answer your actions with Contests, compete with you in minigames, and otherwise change what you hold. These outcomes are part of the Game. They are not a loss of property, and we do not compensate for them, except to correct a verified error on our side.
3.2 Contests and Minigames
Contests and minigames are decided by gameplay under the rules shown in the Game. They involve no real-money entry fees or prizes. Results are recorded by our servers, and the server's record is final, subject to Section 3.5.
3.3 Settlement Cycles and Resets
The Game's world changes over time. A settlement may be cleared, reset, or released back as open land as part of the Game (for example, when a settlement's cycle ends), and realms may be merged, opened, closed, or reset. When that happens, plots, buildings, and other holdings in that settlement or realm may be removed, converted, or bought out under the rules shown in the Game at the time.
3.4 Changes to the Game
We are constantly developing the Game. We may add, change, rebalance, or remove features, content, buildings, prices in Gold, income rates, rules, and other parts of the Game at any time, and these changes may affect your progress or the value or usefulness of virtual items. We may also run test versions (alpha, beta, or early access) whose progress may be reset.
3.5 Errors
If a bug, outage, or other error causes an incorrect result, such as a wrong balance, a duplicated item, or a Buyout or Contest decided incorrectly, we may correct it, including by reversing the result or adjusting balances. Please report suspected errors to support@deku.net.
4. Virtual Currency and Items
4.1 What They Are
The Game includes virtual currencies, such as Gold (earned in play) and Seals (which can be bought or earned), and other virtual items such as speed-ups, protections, cosmetics, plots, and buildings (together, "Virtual Items").
4.2 A License, Not Property
Virtual Items are licensed to you, not sold. When you obtain a Virtual Item, we grant you a limited, personal, non-transferable, non-sublicensable, revocable license to use it in the Game. You do not own Virtual Items, and they are not your personal property.
4.3 No Real-World Value
Virtual Items have no monetary value. They cannot be redeemed for money or anything of value from us or anyone else, cashed out, or exchanged for prizes, Deku Studios Bonus Cash, or anything in Deku Studios' other games. You may not buy, sell, trade, or transfer Virtual Items, accounts, or Houses outside the Game, or for real money or anything of value, and any attempt to do so is void and a violation of these Terms. Trading or gifting within the Game is allowed only where the Game itself provides a way to do it.
4.4 Balances and Limits
We may set limits on how many Virtual Items you can hold, earn, buy, or bring into a settlement. Virtual Items may expire or be consumed as described in the Game.
5. Purchases
5.1 Buying Seals and Items
You may be able to buy Seals or other Virtual Items with real money. Purchases in our iOS and Android apps are processed by Apple or Google under their terms. Purchases on the web, if offered, are processed by our payment processor. Prices are shown at the time of purchase and may include taxes. We may change prices and offers at any time.
5.2 Minors
If you are under eighteen (18), you must have a parent or guardian's permission before making any purchase. Parents can use the parental controls offered by Apple and Google to manage purchases.
5.3 All Sales Final
Except as required by law or stated in this Section, all purchases are final and non-refundable, including if your account is suspended or terminated for violating these Terms, if a Virtual Item is changed or removed under Section 3.4, or if the Game ends. Refunds for purchases made through Apple or Google are handled by them under their policies, and we cannot issue refunds for those purchases directly. If a purchase is not delivered, contact support@deku.net and we will deliver it or help you request a refund.
5.4 Right of Withdrawal (EU, EEA, and UK)
If you live in the EU, EEA, or UK, you may have a right to withdraw from a purchase within fourteen (14) days. By asking us to deliver a Virtual Item immediately, you agree that it is supplied right away and acknowledge that you lose this right of withdrawal once delivery begins.
5.5 Chargebacks
If you dispute a purchase with your bank, card issuer, Apple, or Google, we may remove the related Virtual Items and suspend your account while the dispute is open, and may terminate it for chargeback abuse.
6. Rules of Conduct
You agree not to, and not to help others to:
- Cheat. Use bots, scripts, macros, automation, modified clients, solvers, or other unauthorized software; exploit bugs or glitches instead of reporting them; or collude with others to manipulate Buyouts, Contests, rankings, or the economy.
- Abuse accounts. Create or control multiple accounts for advantage, share or sell accounts, or play on someone else's account.
- Trade for real value. Buy, sell, or advertise Virtual Items, accounts, Houses, or services (such as "boosting") for real money or anything of value outside the Game.
- Attack the Game. Interfere with servers or networks, overload or probe our systems, bypass security or limits, intercept or alter game traffic, or reverse engineer, decompile, or copy the Game, except as the law expressly allows.
- Scrape. Collect data from the Game or other players by automated means.
- Harass or offend. Harass, threaten, impersonate, or abuse others, or post content that is hateful, sexual, violent, illegal, misleading, or that infringes someone else's rights.
- Break the law. Use the Game for any illegal purpose, including fraud.
7. Names and Player Content
7.1 House Names and Other Content
You may create content in the Game, such as a House name, motto, banner, character, and other text or choices ("Player Content"). Player Content must follow Section 6 and must not use another person's name or trademark, profanity, slurs, or content that suggests you are Deku Studios or one of its staff. House names must be unique, and we may reserve names, including names of characters and places in the Game.
7.2 Our Right to Moderate
We may review, rename, hide, or remove Player Content at any time and for any reason, including if we believe it breaks these Terms. If we rename your House, we may assign a new name and ask you to choose another.
7.3 License to Your Content
You keep any rights you have in your Player Content. You grant Deku Studios a worldwide, royalty-free, non-exclusive, perpetual, sublicensable, and transferable license to use, display, reproduce, modify, and distribute your Player Content in connection with the Game and its promotion. Player Content that becomes part of the shared world (for example, the name of a House shown in another player's history) may remain visible after you delete your account.
7.4 Feedback
If you send us ideas or feedback, we may use them without any obligation to you.
8. Enforcement
If we believe you have broken these Terms, we may, without notice and at our discretion: warn you; remove or reset Virtual Items, holdings, or progress gained through the violation; rename your House; restrict features; or suspend or permanently terminate your account. Where reasonable, we will tell you what happened and why. You may ask us to review a decision by emailing support@deku.net within fourteen (14) days. A person, not only an automated system, will review it.
9. Intellectual Property
The Game and everything in it, including its software, world, art, characters, names, music, text, and the Throneguild name and logos, are owned by Deku Studios or its licensors and protected by intellectual-property laws. "Throneguild," "Throneguild: Age of Avarice," "Deku Studios," and related logos are trademarks of Deku Studios LLC. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Game for your own non-commercial entertainment. All rights not expressly granted are reserved.
Copyright complaints. If you believe content in the Game infringes your copyright, send a notice under the Digital Millennium Copyright Act (17 U.S.C. § 512) to legal@deku.net, including: the work you claim is infringed; the material and where it appears in the Game; your contact information; a statement of good-faith belief that the use is not authorized; and a statement, under penalty of perjury, that your notice is accurate and that you are the owner or authorized to act for the owner.
10. Third-Party Services
The Game uses third-party services, such as Apple, Google, and payment processors, which have their own terms. We are not responsible for third-party services.
11. Ending Your Use of the Game
11.1 By You
You may stop playing at any time and may delete your account in the Game's settings or by emailing support@deku.net.
11.2 By Us
We may suspend or terminate your account under Section 8. We may also discontinue the Game, or any realm or feature, at any time. If we shut down the Game entirely, we will try to give at least thirty (30) days' notice in the Game or on throneguild.com.
11.3 Effect
When your account ends, for any reason, your license to the Game and to all Virtual Items ends, and any Gold, Seals, plots, buildings, and other Virtual Items are forfeited without refund, except where the law requires otherwise. Sections 4.2, 4.3, 5.3, 7.3, 9, and 12 through 17 survive.
12. Disclaimers
THE GAME AND ALL VIRTUAL ITEMS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, DEKU STUDIOS DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT PROMISE THAT THE GAME WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT YOUR PROGRESS OR VIRTUAL ITEMS WILL BE PRESERVED. Some places do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.
13. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, DEKU STUDIOS AND ITS MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, PROGRESS, OR VIRTUAL ITEMS, ARISING OUT OF OR RELATED TO THE GAME OR THESE TERMS, UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THEIR POSSIBILITY.
TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE GAME OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE GAME IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Nothing in these Terms limits liability that cannot be limited by law, and if you live in the EU, EEA, or UK, these Terms do not affect your statutory consumer rights.
14. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Deku Studios and its members, officers, employees, contractors, and agents from claims, losses, and expenses (including reasonable attorneys' fees) arising from your Player Content, your misuse of the Game, or your violation of these Terms, the law, or anyone else's rights.
15. Dispute Resolution
15.1 Talk to Us First
Before starting a formal proceeding, you agree to email legal@deku.net with your name, account email, a description of the dispute, and the relief you want, and to try in good faith to resolve it with us for at least thirty (30) days.
15.2 Binding Arbitration
You and Deku Studios agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Game ("Dispute") that is not resolved informally will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration will take place in New York, New York, or by video or phone, or at another location we agree on. The arbitrator's decision is final and may be entered as a judgment in any court with jurisdiction. You and Deku Studios each waive the right to a trial by jury.
15.3 Class-Action Waiver
YOU AND DEKU STUDIOS MAY BRING CLAIMS AGAINST EACH OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims or preside over any form of class or representative proceeding.
15.4 Mass Arbitration
If twenty-five (25) or more similar Disputes are filed against Deku Studios within sixty (60) days by claimants represented by the same or coordinated counsel, the parties will work in good faith to select up to ten (10) bellwether cases to proceed first, with the remaining cases stayed until the bellwether cases are decided. The parties may agree to other procedures to resolve the cases fairly and efficiently. If AAA cannot administer the cases on substantially these terms, JAMS will administer them under its Streamlined Arbitration Rules and Procedures with the same bellwether process.
15.5 If the Class Waiver Fails
If the class-action waiver in Section 15.3 is found unenforceable as to any claim or remedy, then this Section 15 will not apply to that claim, which will proceed in the state or federal courts located in New York County, New York.
15.6 Opting Out
You may opt out of this arbitration agreement and class-action waiver within thirty (30) days after you first accept these Terms, by emailing legal@deku.net with the subject line "Arbitration Opt-Out," or by mail to Deku Studios LLC, Attn: Arbitration Opt-Out, 418 Broadway #11209, Albany, NY 12207. Include your full name, account email, House name (if any), and a clear statement that you opt out. Opting out will not affect your account or your use of the Game.
15.7 Exceptions
Either party may bring an individual claim in small-claims court if it qualifies, and either party may seek injunctive relief in court to stop infringement or misuse of intellectual property.
15.8 Governing Law
These Terms are governed by the laws of the State of New York, without regard to its conflict-of-law rules, except that the Federal Arbitration Act (9 U.S.C. § 1 et seq.) governs this Section 15. If you live in the EU, EEA, or UK, you also benefit from any mandatory consumer protections of the law where you live, and you may bring claims in the courts of your home country.
16. Apple and Google
Apple. If you downloaded the Game from the Apple App Store: these Terms are between you and Deku Studios only, not Apple; Deku Studios, not Apple, is solely responsible for the Game and its content; Apple has no obligation to provide maintenance or support for the Game; if the Game fails to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price (if any) of the app, and to the maximum extent permitted by law Apple has no other warranty obligation; Apple is not responsible for addressing any claims by you or a third party relating to the Game, including product liability claims, claims that the Game fails to meet legal or regulatory requirements, consumer protection or privacy claims, or intellectual-property infringement claims, which are Deku Studios' responsibility; you confirm you are not located in a country subject to a U.S. government embargo or designated as a "terrorist supporting" country, and are not on any U.S. government list of prohibited or restricted parties; and Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. Your use of the Game must also comply with the Apple Media Services Terms and Conditions.
Google. If you downloaded the Game from Google Play, your use must also comply with Google Play's terms. Google is not a party to these Terms and is not responsible for the Game.
17. General
Entire agreement. These Terms, together with the Privacy Policy and any rules shown in the Game, are the entire agreement between you and Deku Studios about the Game.
Changes to these Terms. We may update these Terms. We will post the updated version here and change the "Last updated" date, and for material changes we will give notice in the Game or by email where practicable, before they take effect. Continuing to use the Game after the changes take effect means you accept them. Changes to Section 15 will not apply to Disputes we already know about.
Severability and waiver. If any part of these Terms is unenforceable, the rest stays in effect. Our failure to enforce a provision is not a waiver.
Assignment. You may not transfer these Terms. We may transfer them, for example in a merger or sale of the Game.
Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
Notices. We may send notices to your account email or in the Game. Send notices to us at legal@deku.net or by mail to the address below.
